After living and working abroad for several years, Seth founded Kaplowitz Firm in 2012 in order to bring his practical and legal experience directly to businesses and entrepreneurs, and to foster an environment where clients would be treated more like partners than customers.
Seth’s practice is focused on working with lifestyle brands, creatives and design professionals. Working with clients in different industries and of varying stages of growth – from AD100 designers to clothing and apparel start-ups – Seth brings both a substantial volume of legal experience as well as a commercially oriented private equity background to clients, which enables him to provide both legal and strategic operational advice.
Seth has over 20 years of experience, as an attorney practicing at international law firms and as in-house counsel to an international private equity firm. Seth has advised on, structured and executed commercial transactions throughout North America, Europe, Asia, Africa and South America, both as a legal practitioner as well as an equity and debt holder, all of which guide his practical approach to the various issues faced by clients of the firm.
Seth’s practice at Kaplowitz Firm also focuses on private fund-raising, including Regs S, D, A+, and CF debt and equity issuances, as well as advisory on transactions involving convertible securities, equity linked securities and equity derivatives. Seth has represented both issuers and purchasers in connection with a wide array of matters, including due diligence advisory, fund formation, governance and best-practices, across a variety of sectors. Seth has substantial depth of experience in cross-border transactions and regulatory compliance, including central banking and foreign exchange controls.
Seth also advises and serves as “outside in-house counsel” to a variety of small to mid-sized enterprises, providing representation in connection with contractual matters, data and privacy security and compliance, supervising litigation counsel, licensing, employment and founder’s issues.
Additionally, Seth strives to make pro bono work a core aspect of the Kaplowitz Firm culture to support the economic and social vitality of the communities in which we work and live. Seth has represented a wide range of pro bono clients, including: nonprofit entities with organizational, transactional, and operational needs, seniors with estate planning needs, tenants seeking to maintain their housing and correct substandard living conditions, and individuals and organizations seeking to protect intellectual property rights.
Seth lives in New York City and Provincetown, MA with his wife, son, and soulful coonhound, Grover. Seth is actively involved in both communities and is a member of the Patron’s Circle of the American Museum of Natural History, where he is also a Vice Chair of the Spring Lunch Committee, a patron of the New York Presbyterian Children’s Hospital, a member of Temple Emanu-El, a member of the Provincetown Art Association and Museum PAAM Circle and a member of the New York City Bar Association.
Seth received a B.A. in Political Communication and Rhetorical Theory from Emerson College, and was a member of the press office of Massachusetts Governor William F. Weld.
Seth received his J.D. from The Syracuse University College of Law, where he was an Associate Editor of The Syracuse Law Review.
